1. Introduction
Welcome to Wedly ("we," "our," or "us"). By accessing or using our platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use our Services.
These Terms are governed by the laws of England and Wales.
2. Definitions
- "Service" refers to the Wedly SaaS platform, including the dashboard, portal, and AI tools.
- "Tenant" (or "Vendor") refers to the business entity or professional subscribing to Wedly to manage their wedding business.
- "Wedding Customer" refers to the end-client of a Tenant who accesses the Guest Portal to view quotes, pay invoices, or communicate with the Vendor.
- "Guest Portal" refers to the specific interface provided for Wedding Customers to interact with Tenants.
3. Account Terms
3.1. Tenant Accounts
Tenants are responsible for maintaining the security of their account credentials (email and password). You agree ensuring that all information provided during registration is accurate and up to date.
3.2. Wedding Customer Access
Wedding Customers access the Guest Portal via secure "Magic Links" sent to their email. Wedding Customers do not create permanent account passwords. Security relies on the Wedding Customer maintaining exclusive control over their email inbox. Wedly is not liable for unauthorized access resulting from a compromised email account.
4. Subscription and Payments
Wedly is a B2B subscription service. Payments are processed securely via Stripe.
- Billing Cycle: Subscriptions are billed on a monthly basis.
- Cancellation: You may cancel your subscription at any time. Your access will continue until the end of the current billing period.
- No Refunds: We operate a strict no-refund policy. Payments made for the current billing cycle are non-refundable, regardless of usage.
- Free Trial: New Tenants may be eligible for a 14-day free trial. You will not be charged if you cancel before the trial period ends.
5. Service Usage and Restrictions
5.1. Acceptable Use
You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, or impairs the service.
5.2. File Uploads
The Service allows uploading of images and documents.
- Restrictions: Image uploads in the Guest Portal are currently limited to standard image formats, with a maximum size of 10MB per file and a limit of 20 files per batch/entity.
- Content: You must not upload content that is illegal, offensive, or infringes on intellectual property rights. We reserve the right to remove any such content without notice.
5.3. Messaging and Conduct
Users must behave professionally in all communications. Harassment, abuse, or spamming via the Chat or Email integration features is strictly prohibited and may result in immediate account termination.
6. AI Assistant Disclaimer
Wedly includes AI-powered features ("Messaging Assistant") to help draft emails, quotes, and timelines.
- Human-in-the-Loop: AI outputs are suggestions only. You acknowledge that AI can make errors ("hallucinations").
- Requirement: You must review and edit all AI-generated content before sending it to Wedding Customers.
- Liability: Wedly accepts no liability for errors, inaccuracies, or offensive material present in unreviewed AI outputs.
7. Data Protection (GDPR)
For the purposes of the UK General Data Protection Regulation (UK GDPR):
- The Tenant is the Data Controller of their Wedding Customer's data.
- Wedly is the Data Processor acting on behalf of the Tenant.
We process data in accordance with our instructions and applicable law. Tenants are responsible for obtaining necessary consents from their Wedding Customers to use this platform.
8. Limitation of Liability
To the fullest extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind.
- Wedly shall not be liable for any indirect, special, or consequential damages, including loss of business, revenue, or data.
- Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you to us in the subscription month preceding the claim.
- We are not a party to any agreement between a Tenant and a Wedding Customer and are not liable for disputes arising from their professional relationship.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
